Global Exchange Rates is a solution by Memento.
By using the Global Exchange Rates API (referred as the “solution” in the terms), you (the “client”) confirm and acknowledge that you have read, understood, and agree the terms and conditions of this page.
General Conditions
Any changes to this terms can be made exclusively by Memento, with Memento reserving the right to modify costs and the methods of calculation — including but not limited to changes due to regulatory updates or changes in relationships with partner companies acting as intermediaries.
Neither the Client nor Memento may assign or transfer the rights arising from this terms to third parties without explicit written authorization from the other party.
The software is provided “as is,” with no warranty regarding its use and features.
Using the solution requires an active subscription; in any case this will just grant a non-exclusive and revocable use license to the Client. The intellectual property of the solution will remain of Memento.
Memento can’t guarantee that the service will be available at all times. Memento reserves the right to cancel the service or solution at any time, and will make reasonable efforts to communicate this in advance to any active Client.
Memento is not obligated to provide support services for the solution. Any support provided is without any warranties of any kind.
The software may be automatically updated without prior notification, with change in the provided functionalities.
The availability of the solution is not guaranteed, and the solution should be not used in any critical business process.
The connection to central banks can be rendered unusable by changes on the central banks side at any moment; Memento will make reasonable efforts to restore connectivity in a timely manner, if possible.

Liability
Memento shall not be held responsible under any title or reason, directly or indirectly, for damages, including direct or indirect damages, data loss, alteration of document content, third-party rights violations, delays, malfunctions, or interruptions, whether total or partial, occurring during service delivery. In no event shall Memento be liable for direct, indirect, or consequential damages, such as reputational damage, loss of profit, loss or interruption of production, loss or suspension of contracts, etc.
Memento does not control or monitor how the Client uses the solution; Memento remains uninvolved in the activities the Client carries out autonomously when accessing the service. The Client releases Memento from any and all liability concerning this matter and agrees to indemnify and hold Memento harmless from any claims for damages brought forward by any party.
The licensee may request compensation from Memento and its suppliers for any damages required by the law, only limited to the amount actually paid by the Client for the solution. The Client may not claim compensation for any other damages, including consequential, special, indirect, or incidental damages or loss of profits.
For any dispute, the competent court is the court of Milan.
Billing and Payments
In case of payment delays, Memento reserves the right — after following standard reminder procedures and directly notifying the Client — to suspend the service with immediate effect.
Reference
The Client authorizes Memento to use its name, brand, and logo for reference purposes in Memento’s promotional materials, without this entailing any payment by Memento.
